1.1These Terms of Use ("Terms") form a legally binding agreement between you ("you," "user," or "customer") and Lacspace Corporation Pvt. Ltd. and its affiliates ("Lacspace," "we," "us," or "our"). They govern your access to and use of our websites, mobile and web applications, AI features, APIs, and services (the "Services").
1.2By accessing or using any Service — or by creating an account, clicking "accept," or paying an invoice — you agree to these Terms and our Privacy Policy. If you do not agree, you must stop using the Services immediately.
2.1Lacspace is a global, country-neutral technology company — an AI-powered software company building a growing ecosystem of products, with teams and offices across Asia and customers worldwide. For legal purposes, Lacspace Corporation Pvt. Ltd. is registered in India (CIN U46511DL2025PTC079972, RoC-Delhi) and Nepal (Reg. No. 377566/82/83, PAN 622468837), and will register in further jurisdictions as it grows. Registration and office details are stated as a matter of law and do not tie the company to any single country.
Services — all Lacspace websites, apps, platforms, APIs, and AI features.
Content — text, data, media, and other materials available in or submitted to the Services.
User Content — content you submit, post, or generate.
Account — your registered access to a Service.
Order — a subscription, purchase, or sign-up that references these Terms.
AI Output — content produced by AI features in response to your inputs.
4.1You must be at least 18 years old, or the age of majority in your jurisdiction, and able to form a binding contract, to use the Services. Where a Service permits younger users, it must be used under the supervision and consent of a parent, guardian, or authorised institution (for example, a school). By using the Services you represent that you meet these requirements.
5.1These Terms incorporate, by reference, our Privacy Policy, Cookie Policy, and License & Code of Conduct. Where you hold a paid or enterprise licence, the License Agreement governs intellectual-property and licensing matters and prevails over these Terms to the extent of any conflict on those matters.
6.1Some Services require an account. You agree to provide accurate, current, and complete information and to keep it up to date. You are responsible for all activity under your account. We may refuse, suspend, or reclaim accounts, usernames, or handles that are misleading, infringing, or abusive.
7.1You are responsible for safeguarding your login credentials, API keys, and one-time codes. You must:
keep credentials confidential and not share a single seat across multiple people;
enable available security features and rotate keys if you suspect compromise;
notify us promptly at security@lacspace.com of any unauthorised access.
7.2Lacspace is not liable for loss arising from your failure to secure your account.
8.1If you use a Service on behalf of an organisation, the organisation is the account owner and is responsible for its users, roles, and permissions. Administrators may access, manage, and restrict member accounts and content within the organisation's tenant. You represent that you are authorised to act for the organisation you register.
9.1By using the Services, you consent to receive communications from us electronically — including service, security, transactional, and administrative messages — which satisfy any legal requirement that communications be in writing. You may opt out of marketing communications at any time; you cannot opt out of essential service or security notices while you use the Services.
10.1Subject to these Terms and any Order, we grant you a limited, revocable, non-exclusive, non-transferable right to access and use the Services for your personal or internal business purposes. Our software is proprietary and licensed, not sold; full intellectual-property and licensing terms are in the License Agreement.
11.1You agree to use the Services lawfully, ethically, and in good faith, and not to:
upload or transmit unlawful, infringing, defamatory, harassing, or hateful content;
distribute malware or engage in phishing, fraud, or deception;
interfere with, overload, or disrupt the Services or related networks;
access data or accounts you are not authorised to access;
send spam or scrape data at scale without our written permission.
Reverse-engineering, decompiling, or reconstructing source code, models, or algorithms.
Using the Services to build or benchmark a competing product or model.
Reselling, sublicensing, renting, or redistributing the Services without authorisation.
Removing or altering proprietary notices, trademarks, or watermarks.
Using free or trial services for unlawful, deceptive, adult-exploitative, or coordinated political-manipulation purposes.
Circumventing usage limits, security controls, or authentication.
13.1Everyone who uses the Services or participates in our communities must follow the Lacspace Code of Conduct — respect people, act with integrity, protect others' data, report issues responsibly, and follow the law. We may warn, restrict, suspend, or terminate access for conduct that violates these standards.
14.1You retain ownership of your User Content. By submitting it, you grant Lacspace a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, display, and process it as needed to operate and improve the Services, and — for content you post publicly — to feature it in reasonable promotion of the Services.
14.2You represent that you have the rights to your User Content and that it does not infringe or violate any law or third-party right. We may remove content or restrict accounts that breach these Terms, and we have no obligation to store or return removed content.
15.1If you send us suggestions or feedback, you grant us a perpetual, irrevocable, royalty-free licence to use it to improve our products, without obligation or compensation to you.
16.1We may offer free tiers, trials, betas, and previews. These are provided "as is," may have reduced functionality or availability, and may be changed, limited, or discontinued at any time without notice. Data in free or trial environments may be deleted on expiry. Beta features are excluded from any service-level commitment.
17.1Some Services include AI features. You are responsible for reviewing AI Output before relying on it. AI Output may be inaccurate or incomplete and is not professional, medical, legal, or financial advice.
Keep a human in the loop for decisions with legal, health, financial, or safety significance.
Do not use AI features to deceive, defame, defraud, or generate unlawful content.
Do not attempt to extract our models, weights, prompts, or safety systems.
17.2Detailed AI terms and prohibited AI uses are in the License Agreement.
18.1The Services are subject to fair-use thresholds and technical rate limits to protect all users. Where we offer APIs, you must respect published limits and authentication requirements, keep keys within your organisation, and not use the API to replicate the Services or bulk-export data for resale. We may throttle or suspend usage that threatens platform stability.
19.1Our mobile apps are distributed through third-party app stores and are also subject to those stores' terms. Updates may be delivered over the air. Your use of an app must comply with the applicable app-store rules in addition to these Terms.
20.1The Services may link to or integrate third-party products (for example, payment, messaging, maps, or authentication providers). Those are governed by their own terms and privacy practices, and we are not responsible for their content, availability, or actions. Your use of an integration may require you to accept the third party's terms.
21.1Paid Services are provided under the plan and Order you select. Each plan has distinct features, seat limits, and entitlements. Product-specific terms may add rules for a particular Service and are communicated in that product's dashboard or documentation; continued use signifies acceptance of them.
22.1Prices are shown at purchase and may vary by region, currency, and plan. Unless stated otherwise, prices exclude taxes, which you are responsible for. You authorise us (and our payment processors) to charge your selected payment method for all fees due. Multi-country customers may be billed in local currency via supported methods, including regional gateways.
23.1Subscriptions renew automatically for the same term unless you cancel before the renewal date. You can cancel to stop future renewals; cancellation takes effect at the end of the current paid term, and you retain access until then. We may change renewal pricing with reasonable notice.
24.1Except where required by applicable consumer-protection law or expressly stated in an Order, fees are non-refundable, and there are no refunds or credits for partial terms or unused capacity. We will refund verified duplicate charges or unauthorised transactions. Nothing in these Terms limits non-waivable statutory consumer rights in your jurisdiction. See our Refund & Cancellation Policy.
25.1Free services (such as a free website, free trial, or free plan) are strictly limited, provided "as is," and may be modified, suspended, or terminated at any time without notice, with associated data potentially deleted. Free services grant no licence to underlying proprietary software. Upgrading to a paid plan unlocks custom domains, advanced features, and dedicated support.
26.1Where a Service connects buyers and sellers or facilitates orders, deliveries, or bookings, Lacspace generally acts as a technology platform and is not the seller or provider of the underlying goods or services unless expressly stated. Contracts for those goods or services are between you and the relevant merchant or provider, who is responsible for fulfilment, quality, and applicable consumer obligations.
27.1All Services, and all Content we provide, are owned by Lacspace or our licensors and protected by intellectual-property laws. The Services are licensed, not sold, and are not open-source. Complete IP and licensing terms — including restrictions and permitted uses — are in the License Agreement.
28.1"Lacspace," our product names, logos, and taglines are our trademarks. You may not use them without our prior written permission, except to accurately identify Lacspace as your vendor, and you may not register confusingly similar marks, domains, or handles.
29.1We respect intellectual-property rights and expect users to do the same. If you believe content on the Services infringes your copyright, send a written notice to legal@lacspace.com including:
identification of the copyrighted work and the allegedly infringing material (with a URL);
your contact details and a good-faith statement that the use is unauthorised;
a statement, under penalty of perjury, that the information is accurate and you are authorised to act.
29.2We will review valid notices and may remove infringing content and act against repeat infringers.
30.1Our Privacy Policy explains how we collect, use, and protect personal data. By using the Services you acknowledge that processing. You own your data; we do not sell it, and our platforms are multi-tenant with structural isolation. Where we process personal data on your behalf, each party will comply with applicable data-protection laws.
31.1We use cookies and similar technologies as described in our Cookie Policy. You can manage preferences through your browser or, where offered, our cookie controls.
32.1We continuously improve the Services and may add, modify, or discontinue features. We aim for high availability but do not guarantee uninterrupted or error-free operation. Scheduled maintenance and factors outside our control are excluded from any availability commitment.
33.1You may stop using the Services at any time. We may suspend or terminate your access — with or without notice — for breach of these Terms, non-payment, legal or security risk, or harm to our users or ecosystem. On termination, your right to use the Services ends, and provisions that by their nature should survive will survive. Where you have paid for a term, we will handle prepaid, unused fees as described in your Order or applicable law.
34.1THE SERVICES AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT AI OUTPUT WILL BE ACCURATE. YOU USE THE SERVICES AT YOUR OWN RISK AND SHOULD BACK UP IMPORTANT DATA.
35.1TO THE FULLEST EXTENT PERMITTED BY LAW, LACSPACE AND ITS DIRECTORS, EMPLOYEES, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR FIFTY US DOLLARS (US$50).
36.1You agree to defend, indemnify, and hold Lacspace and its affiliates harmless from claims, damages, and costs (including reasonable legal fees) arising from your User Content, your use of the Services in breach of these Terms, your violation of law, or your infringement of third-party rights.
37.1Lacspace is global and country-neutral, with services built to work across borders — supporting different currencies, tax rules, identifier schemes, and regulatory frameworks per region. Region-specific addenda may supplement these Terms for particular markets, and we honour data-residency obligations where they apply to a Service.
38.1Unless a signed agreement specifies otherwise, these Terms are governed by the laws of India and Nepal, without regard to conflict-of-law principles, and the competent courts of Delhi, India have exclusive jurisdiction, subject to the dispute-resolution process below and to any non-waivable rights under your local law.
39.1The parties will first try to resolve any dispute in good faith. If unresolved within 30 days:
the dispute will be finally settled by binding arbitration seated in Delhi, India, in English, before a sole arbitrator, under applicable arbitration law;
either party may seek injunctive relief in court to protect intellectual property or confidential information; and
to the extent permitted by law, disputes are resolved individually, not as a class action.
40.1You are responsible for complying with local laws wherever you access the Services, and for ensuring your use is permitted in your jurisdiction and industry. The Services may not be used in violation of applicable export-control or sanctions laws, and you represent that you are not located in, or acting for, an embargoed or sanctioned party.
41.1Neither party is liable for failure or delay caused by events beyond its reasonable control, including natural disasters, war, civil unrest, epidemics, and power or internet failures. Affected obligations are suspended for the duration of the event.
42.1You may not assign or transfer these Terms without our prior written consent. We may assign them to an affiliate or successor, including our evolving corporate entities, and may use sub-processors to provide the Services while remaining responsible for their performance.
43.1If any provision is held unenforceable, the remainder remains in effect and the provision is modified to the minimum extent necessary. Our failure to enforce a right is not a waiver of it.
44.1These Terms, together with the policies they incorporate and any Order, are the entire agreement between you and Lacspace regarding the Services. We may update these Terms from time to time; material changes will be notified by reasonable means, and continued use after the effective date constitutes acceptance. The current version is always published on this page.
