Lacspace License Agreement

1. Introduction & Agreement

This License Agreement ("Agreement") is a legally binding contract between you or the entity you represent ("Licensee" or "you") and Lacspace ("Licensor," "we," "us," or "our"). This Agreement governs your use of all Lacspace proprietary properties, including but not limited to software, AI models, creative assets, and documentation ("Properties"). By accessing, downloading, or using our Properties, you acknowledge that you have read, understood, and agree to be bound by these terms. If you do not agree, you are expressly prohibited from using our Properties and must immediately cease all use.

2. Intellectual Property Rights

All Properties are the exclusive intellectual property of Lacspace, owned and controlled by us. This includes all source code, databases, software, designs, text, graphics, and trademarks ("Content"). Our Content is protected by copyright, trademark, and other intellectual property laws of India, Nepal, and international conventions. Our Properties are licensed, not sold. Under no circumstances is any of our proprietary software provided under an MIT or any other open-source license. Any rights not expressly granted to you are reserved by Lacspace.

3. License Grant

Subject to your full compliance with this Agreement and timely payment of all applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to use the Properties strictly for your internal personal or business operations. This license is for the specific software, version, and term for which you have paid. Use of the Properties for any other purpose is a material breach of this Agreement.

4. Strict Prohibitions and Usage Restrictions

You agree that you will not, directly or indirectly:

• Use the Properties without a valid, paid license.
• Resell, sublicense, lease, or otherwise redistribute our Properties to any third party.
• Reverse-engineer, decompile, disassemble, or otherwise attempt to discover the source code or underlying ideas or algorithms of the Properties.
• Modify, translate, or create derivative works based on the Properties.
• Remove, obscure, or alter any proprietary notices or labels on the Properties.
• Use the Properties to develop a competing product or service.
• Use the Properties for any illegal, fraudulent, or malicious purpose.

Violation of these restrictions will result in immediate termination of your license and may subject you to severe civil and criminal penalties.

5. Warning Regarding "Free" Services

Lacspace may offer certain services, such as a "Free Website" or "Free Consultation," at no initial cost. These offers are not governed by this License Agreement and are subject to our Terms of Use. Free services are provided "as-is" with significant limitations, may be terminated at any time without notice, and do not grant you any license or rights to the underlying proprietary software. Custom domains, features, and support for free services require upgrading to a paid, licensed plan.

6. Termination

This Agreement and your license are effective until terminated. Your rights will terminate automatically and without notice from us if you fail to comply with any term of this Agreement. We reserve the right to terminate your license for any reason, with or without cause. Upon termination, you must immediately cease all use of the Properties and destroy all copies, full or partial, in your possession or control.

7. Disclaimer of Warranties

THE PROPERTIES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, LACSPACE EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PROPERTIES WILL MEET YOUR REQUIREMENTS OR THAT THEIR OPERATION WILL BE UNINTERRUPTED OR ERROR-FREE.

8. Limitation of Liability

IN NO EVENT SHALL LACSPACE, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST REVENUE, OR LOSS OF DATA, ARISING FROM YOUR USE OF, OR INABILITY TO USE, THE PROPERTIES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE LICENSE IN THE 12 MONTHS PRECEDING THE CLAIM.

9. Governing Law & Dispute Resolution

This Agreement is governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. Any dispute arising from this Agreement shall be subject to the exclusive jurisdiction of the courts located in Delhi, India. You consent to the personal jurisdiction of these courts.
