License, Terms & Code of Conduct

This Master License, Terms & Code of Conduct (the “Agreement”) is a legally binding contract between you or the entity you represent (“Licensee,” “Customer,” or “you”) and Lacspace Corporation Pvt. Ltd. together with its affiliates and successor entities (“Lacspace,” “Licensor,” “we,” “us,” or “our”). It governs your access to and use of every Lacspace property — software, source code, AI models and outputs, APIs, platforms, mobile and web applications, creative assets, documentation, and services (collectively, the “Properties”).

By accessing, downloading, installing, or using any Property — or by clicking “accept,” creating an account, or paying an invoice — you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you do not agree, you are expressly prohibited from using the Properties and must immediately cease all use. If you enter into this Agreement on behalf of an organisation, you represent that you have authority to bind that organisation.

In this Agreement, the following terms have the meanings set out below:

• Properties — all software, code, AI models, data schemas, designs, content, trademarks, and services owned or operated by Lacspace.
• Services — the hosted, cloud, or on-device functionality made available to you, including SaaS products, APIs, and mobile applications.
• Customer Data — data you or your users submit to, or generate within, the Services.
• Tenant — the isolated logical environment provisioned for your organisation.
• Order — a subscription, quote, invoice, or online sign-up that references this Agreement.
• AI Output — content generated by AI features of the Services in response to your inputs.
• Affiliate — any entity controlling, controlled by, or under common control with a party.

Headings are for convenience only. “Including” means “including without limitation.” References to laws include their amendments and successors.

This Agreement operates together with our other policies, each incorporated by reference: the Terms of Use, the Privacy Policy, the Cookie Policy, and our Trust & Transparency commitments.

In the event of a conflict, the following order of precedence applies: (1) a signed enterprise agreement or Order; (2) this Agreement; (3) product-specific terms; (4) the general Terms of Use. No purchase-order term issued by you will modify this Agreement unless we expressly agree in writing.

All Properties are the exclusive and absolute intellectual property of Lacspace. This includes all source code, object code, databases, algorithms, machine-learning models and weights, software architecture, user interfaces, designs, text, graphics, logos, and trademarks. The Properties are protected by copyright, trademark, trade-secret, patent, and other intellectual-property laws worldwide and under applicable international conventions.

The Properties are licensed, not sold. No title or ownership transfers to you. Under no circumstances is any Lacspace proprietary software provided under an MIT, GPL, Apache, or any other open-source licence. Any rights not expressly granted are reserved exclusively by Lacspace.

If you provide suggestions, ideas, feature requests, or other feedback about the Properties, you grant Lacspace a perpetual, irrevocable, worldwide, royalty-free licence to use and incorporate that feedback into our Properties without restriction or compensation. You waive any moral rights in such feedback to the extent permitted by law. This does not grant us rights to your Customer Data, which remains yours (see §18).

Subject to your continuous compliance with this Agreement and timely payment of all applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Properties strictly for your internal business or personal operations, for the edition, seat count, and term set out in your Order. This licence confers no right to resell, white-label, or build a competing service, and terminates automatically on breach.

Properties are offered in editions (for example, Free, Growth, and Enterprise), each with distinct entitlements, seat limits, and features. You must not exceed the seats or usage limits of your edition, share credentials across more users than licensed, or operate multiple tenants to circumvent limits.

• Seats are named users; concurrent sharing of a single seat is prohibited.
• Each Tenant is isolated; you may not attempt to access another Tenant's data.
• Usage materially exceeding your edition may result in metered charges or suspension.

We may offer free tiers, trials, betas, previews, or evaluation versions (“Evaluation Offerings”). These are provided “as is,” may change or terminate at our sole discretion at any time without notice, may have reduced functionality or availability, and grant no licence or rights to the underlying proprietary software. Beta features may be unstable and are excluded from any service-level commitment. Upgrading to a paid, licensed plan is required to unlock custom domains, advanced features, and dedicated support.

“Lacspace,” our product names (including CareSewa, Lekhio, CorperaHQ, and others), logos, and taglines are trademarks of Lacspace. You may not use them without our prior written permission, except to accurately identify Lacspace as your vendor.

• Do not alter, recolour, or combine our marks with your own to imply endorsement.
• Do not register domains, handles, or marks confusingly similar to ours.
• Press and analyst references must not misstate our relationship or capabilities.

You will use the Properties lawfully, ethically, and in good faith. You must not:

• Upload or transmit unlawful, infringing, defamatory, harassing, or hateful content.
• Distribute malware, engage in phishing, or attempt to breach security or authentication.
• Probe, scan, or test the vulnerability of any system without our written authorisation.
• Interfere with, overload, or disrupt the Services, or circumvent usage limits.
• Use the Services to send unsolicited bulk messages (spam) or to scrape data at scale.
• Process data you are not lawfully permitted to process, including sensitive data without a lawful basis.

You will not, directly or indirectly, and will not permit any third party to:

• Use any Property without a valid, paid licence where one is required.
• Resell, sublicense, lease, rent, or redistribute the Properties in whole or in part.
• Reverse-engineer, decompile, disassemble, or attempt to reconstruct source code, model weights, underlying ideas, or algorithms.
• Modify, translate, or create derivative works without our explicit written consent.
• Remove, obscure, or alter proprietary notices, watermarks, trademarks, or labels.
• Use the Properties to build, train, or benchmark a competing product or model.
• Use the Properties for any illegal, fraudulent, deceptive, malicious, or unethical purpose.

Violation results in immediate termination and may subject you to civil and criminal liability under applicable law.

Everyone who uses Lacspace Properties, participates in our communities, or interacts with our teams agrees to uphold this Code of Conduct. We hold ourselves to it too.

• Respect people. No harassment, discrimination, hate speech, threats, or personal attacks — on any platform, community, or support channel.
• Act with integrity. No fraud, impersonation, deception, or manipulation of reviews, referrals, or usage metrics.
• Protect others' data. Handle any personal or patient data you touch lawfully, minimally, and securely; never sell or misuse it.
• Report vulnerabilities responsibly. Disclose security issues privately to us before any public disclosure, and never exploit them.
• Compete fairly. Do not scrape, clone, or misappropriate our work, our customers, or our people.
• Keep communities constructive. No spam, off-topic promotion, or coordinated abuse in forums or comment spaces.
• Follow the law. Comply with applicable laws wherever you operate, including sanctions, export, tax, and data-protection laws.
• Be honest about AI. Do not present AI Output as human-authored where that would mislead, or use it to deceive, defame, or defraud.

We may warn, suspend, or terminate access for conduct that violates this Code, at our reasonable discretion, and will act proportionately to protect our users and communities.

You retain ownership of content you post to our communities but grant Lacspace a worldwide, royalty-free licence to host, display, and moderate it for operating the Services. You are responsible for your content and must have the rights to share it. We may remove content or restrict accounts that breach this Agreement or the Code of Conduct, and we are not obligated to store or return removed content.

The Services are subject to fair-use thresholds and technical rate limits to protect all customers. Automated access must respect published limits and authentication requirements. We may throttle, queue, or suspend usage that threatens platform stability, and we may apply metered pricing to sustained usage that materially exceeds your edition's intended scope.

As an AI-powered software company, we build and expect our Properties to be used responsibly. Our AI is developed and offered on these principles:

• Human oversight — AI assists decisions; it does not replace human accountability, especially in healthcare, finance, and safety-critical contexts.
• Fairness & transparency — we work to reduce harmful bias and to be clear about where AI is used.
• Privacy by design — AI features respect tenant isolation, consent, and data minimisation.
• Safety — we prohibit uses of AI that endanger people or rights (see §17).

Certain Properties include AI features. Subject to this Agreement, you own your inputs, and as between you and Lacspace, you may use the resulting AI Output for your lawful business purposes. You are responsible for reviewing AI Output before relying on it.

• AI Output may be inaccurate, incomplete, or unsuitable; it is not professional, medical, legal, or financial advice.
• We do not use your confidential Customer Data to train shared foundation models except as permitted by your plan and privacy terms.
• You must not attempt to extract, copy, or reconstruct our models, weights, prompts, or safety systems.
• Similar outputs may be generated for other customers; AI Output is not warranted to be unique.

You must not use Lacspace AI features to:

• Generate unlawful content, disinformation, deepfakes intended to deceive, or non-consensual or exploitative material.
• Make fully automated decisions with legal or similarly significant effects on individuals without human review and a lawful basis.
• Enable surveillance, profiling, or social scoring that violates human rights or applicable law.
• Provide unsupervised medical diagnosis, treatment, or emergency response as a substitute for a qualified professional.
• Circumvent safety filters, or use outputs to train competing models.

You own your Customer Data. We claim no ownership of it and process it only to provide and improve the Services in accordance with your instructions and our Privacy Policy. Our platforms are multi-tenant with structural isolation: every record carries a tenant, and every query filters by it. Cross-tenant access does not occur except where you explicitly connect and share, or where required by law.

Our processing of personal data is governed by our Privacy Policy. Where we process personal data on your behalf, you are the controller and we are the processor, and each party will comply with applicable data-protection laws. We support consent, access, and deletion mechanisms, and we log changes to sensitive records to keep processing accountable.

We apply industry-standard technical and organisational measures, including tenant isolation, encryption in transit, access controls, and append-only audit logging. Security is a shared responsibility. You must:

• Keep credentials and API keys confidential and rotate them if compromised.
• Configure roles and permissions appropriately and remove access promptly when it is no longer needed.
• Notify us without undue delay of any suspected unauthorised access to your account.

Each party may access the other's confidential information. The receiving party will use it only to perform under this Agreement, protect it with reasonable care, and not disclose it except to personnel and advisors bound by confidentiality. This does not apply to information that is public through no fault of the receiving party, independently developed, or required to be disclosed by law (with notice where lawful).

Where we offer APIs and developer tools, additional terms apply. Nothing is public by default; you control which collections and fields you expose. You must:

• Respect published rate limits and authentication requirements; do not share keys beyond your organisation.
• Not use the API to replicate the Services, build a competing product, or bulk-export data for resale.
• Handle data obtained via the API in line with this Agreement and applicable law.

The Properties may include third-party or open-source components licensed under their own terms, which prevail for those components only. Such inclusion does not make Lacspace proprietary software open-source. Third-party services you connect (for example, payment or messaging providers) are governed by their own terms, and we are not responsible for them.

You agree to pay all fees in your Order. Unless stated otherwise, fees are exclusive of taxes, which you are responsible for. Subscriptions renew automatically for the same term unless cancelled before renewal. We may revise pricing for future terms with reasonable notice.

• Late or failed payment may result in suspension after notice.
• Multi-country customers may be billed in local currency via supported payment methods, including regional gateways.
• All amounts are non-refundable except as expressly stated in §25.

Except where required by law or expressly stated in an Order, fees are non-refundable and there are no refunds or credits for partial periods, unused capacity, or features not used. You may cancel to stop future renewals; cancellation takes effect at the end of the current paid term.

Support and any service-level commitments depend on your edition and are described in the applicable plan or Order. We aim for high availability but do not guarantee uninterrupted or error-free operation. Scheduled maintenance, Evaluation Offerings, and issues caused by factors outside our control are excluded from any availability commitment. Current status is published at lacspace.com/status.

We continuously improve the Properties and may add, modify, or discontinue features. We will avoid materially degrading core functionality of a paid edition during a paid term without reasonable notice. Deprecations of significant features will be communicated through reasonable channels.

This Agreement is effective until terminated. Your rights terminate automatically and immediately if you breach any term. We may also suspend or terminate access:

• for non-payment, breach of the AUP or Code of Conduct, or legal risk to us or others;
• immediately, where continued use poses a security, safety, or legal threat;
• for convenience, on reasonable notice, with a pro-rated refund of prepaid, unused fees where required.

On termination you must cease all use of the Properties and destroy all copies in your possession or control. For a limited period after termination (as described in your plan), we will make your Customer Data available for export; thereafter we may delete it in the ordinary course, subject to legal retention requirements. Clinical and other regulated data may be soft-deleted to preserve history where required by law.

The properties are provided “as is” and “as available,” with all faults and without warranty of any kind. To the fullest extent permitted by law, Lacspace expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the properties will meet your requirements, be error-free, secure, or operate without interruption, or that AI output will be accurate.

In no event shall Lacspace, its directors, employees, or agents be liable for any indirect, incidental, special, punitive, exemplary, or consequential damages, including lost profits, lost revenue, loss of data, business interruption, or loss of goodwill, arising from your use of or inability to use the properties, even if advised of the possibility. Our total aggregate liability for all claims relating to this agreement shall not exceed the total amount you paid for the applicable licence in the twelve (12) months preceding the claim.

You will defend, indemnify, and hold harmless Lacspace and its affiliates from any claims, damages, and costs (including reasonable legal fees) arising from your Customer Data, your use of the Properties in breach of this Agreement, your violation of law, or your infringement of third-party rights.

You must comply with all applicable export-control and sanctions laws. You represent that you are not located in, or acting on behalf of, an embargoed jurisdiction or sanctioned party, and that you will not use the Properties in violation of such laws.

• No bribery, kickbacks, or corrupt payments in connection with this Agreement.
• Compliance with applicable anti-money-laundering and anti-terrorism-financing laws.

Each party will comply with the laws applicable to its performance under this Agreement. You are responsible for determining that your use of the Properties is lawful in your industry and jurisdiction, including sector-specific rules (for example, healthcare, financial, or education regulations) that apply to your data and operations.

Lacspace is a global, country-neutral technology company with teams and offices across Asia and customers worldwide. Our platforms are built multi-country by design: they accommodate different identifier schemes, record-keeping requirements, currencies, tax rules, and regulatory frameworks per region without hard-coding any single country's requirements.

• We support regional payment methods and local billing where available.
• We honour data-residency and localisation obligations where they apply to a Service.
• Region-specific addenda may supplement this Agreement for particular markets.

Lacspace Corporation Pvt. Ltd. is registered in India (CIN U46511DL2025PTC079972, RoC-Delhi) and Nepal (Reg. No. 377566/82/83, PAN 622468837). Unless a signed enterprise agreement specifies otherwise, this Agreement is governed by the laws of India and Nepal, without regard to conflict-of-law principles, and the competent courts of Delhi, India have exclusive jurisdiction, to which you consent. Registration, jurisdiction, and office addresses are stated as a matter of law and do not change the company's global, country-neutral identity.

The parties will first attempt to resolve any dispute in good faith. If unresolved within 30 days, the dispute will be finally settled as follows:

• by binding arbitration seated in Delhi, India, conducted in English by a sole arbitrator, under applicable arbitration law;
• each party bears its own costs unless the arbitrator decides otherwise; and
• either party may seek injunctive relief in court to protect intellectual property or confidential information.

To the extent permitted by law, disputes will be resolved individually, and not as part of a class action.

Where a Service is offered in a market with specific legal requirements (for example, health data rules, consumer-protection regimes, or data-localisation mandates), the applicable regional addendum supplements this Agreement for customers in that market and prevails to the extent of any conflict for that market only.

If you access the Properties from any location, you are responsible for compliance with local laws and for ensuring that your use is permitted where you operate. The Properties may not be used in any country or manner prohibited by applicable law, and you may not export or re-export them in violation of export-control regulations.

Neither party is liable for failure or delay caused by events beyond its reasonable control, including natural disasters, war, civil unrest, epidemics, power or internet failures, or acts of government. Affected obligations are suspended for the duration of the event.

You may not assign this Agreement without our prior written consent. We may assign it to an affiliate or successor (including our evolving corporate entities, such as future international incorporations) and may use subcontractors and sub-processors to provide the Services, remaining responsible for their performance.

If any provision is held unenforceable, the remainder stays in effect and the provision is modified to the minimum extent necessary. A failure to enforce is not a waiver. Provisions that by their nature should survive termination — including intellectual property, confidentiality, disclaimers, liability limits, and indemnities — survive.

This Agreement, together with the policies it incorporates and any Order, is the entire agreement between the parties and supersedes prior understandings. We may update this Agreement from time to time; material changes will be notified through reasonable means, and continued use after the effective date constitutes acceptance. The current version is always published on this page.

Lacspace is committed to building technology responsibly — operating efficiently, respecting the communities we serve, and pursuing our belief that access to good technology is a right, not a luxury. We expect customers and partners to use our Properties in a manner consistent with these values and with human rights.

Lacspace is a long-horizon company. Our roadmap moves through four phases — Software → AI → Robotics → Space — each a foundation for the next. As we grow, we will introduce new Properties, capabilities, and entities, and this Agreement is designed to extend to them.

• Phase 1 — Software (origin, 2021): custom software, apps, and SaaS.
• Phase 2 — AI-Powered Software (today): intelligence as a layer across every product.
• Phase 3 — Robotics (next): applied AI in machines — perception and autonomy.
• Phase 4 — Space R&D (long vision): intelligent systems beyond Earth.

We take violations of this Agreement, our Code of Conduct, security, and the law seriously. Report suspected violations, security vulnerabilities, or misconduct confidentially to compliance@lacspace.com or security@lacspace.com. We do not tolerate retaliation against good-faith reporters.
